Boardwalk Pipeline Partners, LP Announces Secondary Public Offering of Common Units by Boardwalk Pipelines Holding Corp. PDF Print E-mail

HOUSTON–(BUSINESS WIRE)–Boardwalk Pipeline Partners, LP (NYSE: BWP) (the “Partnership”) today
announced the commencement of a secondary public offering of 10,000,000
common units owned by Boardwalk Pipelines Holding Corp., which
indirectly wholly owns the Partnership’s general partner and is a wholly
owned subsidiary of Loews Corporation. The underwriters are expected to
be granted a 30-day option to purchase up to 1,500,000 additional common
units.

The Partnership will not receive any of the proceeds from this offering
and the number of outstanding common units of the Partnership will
remain unchanged. The offering will be made under the Partnership’s
effective shelf registration statement on Form S-3, filed with the
Securities and Exchange Commission.

Barclays Capital, BofA Merrill Lynch, Citi, Morgan Stanley, UBS
Investment Bank and Wells Fargo Securities are acting as joint
book-running managers for the common unit offering.
